Qualifying Free Zone Person (QFZP) UAE: How to Keep 0% Corporate Tax Under Ministerial Decision No. 265 of 2023

Forming a company in a Dubai or UAE Free Zone (such as DMCC, DIFC, ADGM, JAFZA, IFZA, or Meydan) does not automatically grant 0% Corporate Tax. Under Article 18 of Federal Decree-Law No. 47 of 2022 and Ministerial Decision No. 265 of 2023, a Free Zone entity must meet strict Qualifying Free Zone Person (QFZP) conditions, maintain economic substance, prepare audited financial statements, and pass the De Minimis test.

Key Statutory Takeaways (2026)

Open Corporate Tax Calculator →
  • 0% Corporate Tax applies strictly to "Qualifying Income" — non-qualifying income above the De Minimis threshold triggers 9% tax on ALL income for 5 years.
  • Every QFZP must prepare and retain Audited Financial Statements regardless of revenue size (per Ministerial Decision No. 82 of 2023).
  • The De Minimis threshold caps non-qualifying revenue at the lower of 5% of total revenue or AED 5,000,000.
  • Distribution of goods in or from a Designated Zone (e.g., JAFZA, DAFZA, KIZAD) can qualify for 0% tax even when selling to UAE Mainland B2B buyers.

1. The 6 Mandatory Conditions to Be a QFZP

Under Article 18 of the UAE Corporate Tax Law, a Free Zone juridical person qualifies for the 0% tax regime only if it satisfies all six statutory requirements throughout the tax period:

  1. Adequate Economic Substance in the Free Zone: Core income-generating activities (CIGA) must be conducted inside the Free Zone (or outsourced to another Free Zone provider) with adequate full-time employees, physical office/premises, and operating expenditure.
  2. Derives Qualifying Income: Revenue must come from Free Zone-to-Free Zone transactions or listed Qualifying Activities under Ministerial Decision No. 265 of 2023.
  3. Has Not Elected Standard 9% Tax: And has not elected Small Business Relief (SBR).
  4. Complies with Arm's Length & Transfer Pricing Rules: All transactions with Connected Persons and Related Parties must follow Articles 34 and 55.
  5. Meets the De Minimis Requirement: Non-qualifying revenue must stay below 5% of total revenue or AED 5,000,000 (whichever is lower).
  6. Prepares Audited Financial Statements: Mandatory external audit by a UAE-licensed auditor every single year.

2. Qualifying Activities vs. Excluded Activities

When a Free Zone company transacts with another Free Zone Person (where the counterparty is the beneficial recipient), the income is generally 0% Qualifying Income unless it falls under an Excluded Activity. When transacting with a UAE Mainland or foreign customer, the revenue is only 0% if it comes from one of the 14 Qualifying Activities listed in Ministerial Decision No. 265 of 2023:

  • Manufacturing or processing of goods or materials.
  • Trading of Qualifying Commodities (metals, minerals, energy, agriculture traded on a commodity exchange).
  • Holding of shares and other securities for investment purposes (minimum 12-month holding period).
  • Ownership, management, and operation of ships, aircraft financing/leasing, and logistics services.
  • Headquarter services, treasury, and financing services to Related Parties.
  • Distribution of goods or materials in or from a Designated Zone to B2B resellers/processors.

Excluded Activities (taxed at 9% if over De Minimis): Any transaction with natural persons (B2C retail), regulated banking/insurance/leasing (except specific exemptions), ownership/exploitation of UAE mainland real estate, and non-qualifying intellectual property. 3. The De Minimis Rule (5% or AED 5 Million Cap)

The De Minimis rule gives Free Zone businesses a small buffer for incidental mainland or B2C revenue without losing their entire QFZP status. Your non-qualifying revenue cannot exceed the lower of 5% of total revenue OR AED 5,000,000.

Warning — The 5-Year Penalty Disqualification: If your Free Zone company has AED 10,000,000 in total revenue and earns AED 600,000 (6%) from non-qualifying mainland consulting, you breach the 5% De Minimis limit. You do not merely pay 9% on the AED 600,000 — you lose QFZP status entirely for that year AND the next four (4) consecutive tax periods, subjecting all profit above AED 375,000 to the 9% rate!

4. Designated Zones vs. Regular Free Zones

For trading and distribution companies, the UAE distinguishes between regular Free Zones (like DMCC, Meydan, SHAMS, or IFZA) and VAT Designated Zones (such as JAFZA, DAFZA, Dubai South Logistics District, KIZAD, and SAIF Zone). Only distribution conducted in or from a Designated Zone—or high-sea sales of goods that do not enter the UAE—qualifies for 0% QFZP tax when selling to UAE mainland corporate distributors. 5. Should a Small Free Zone Company Elect SBR Instead of QFZP?

If your Free Zone company generates under AED 3,000,000 in annual revenue and sells services to UAE mainland clients or consumers (B2C), trying to qualify as a QFZP is often impossible and requires paying AED 5,000–15,000 for mandatory audited financial statements. Instead, you can forfeit QFZP status for that year and elect Small Business Relief (SBR), securing a 0% tax bill without needing an external audit.

Frequently Asked Questions

Does a Free Zone company get the AED 375,000 zero-percent threshold if it is a QFZP?
No. A Qualifying Free Zone Person (QFZP) gets 0% on all Qualifying Income, but any non-qualifying income that is excluded (such as mainland real estate or foreign PE income) is taxed at a flat 9% from the very first dirham without the AED 375,000 exemption.
If my Free Zone company only sells consulting services to clients in Europe and the US, is that 0% Qualifying Income?
Consulting is not one of the 14 listed Qualifying Activities in Ministerial Decision No. 265 of 2023. Therefore, consulting billed to foreign companies or mainland clients is Non-Qualifying Income unless billed to another UAE Free Zone Person. However, if your total revenue is under AED 3M, you can elect Small Business Relief for 0% tax.
Are all Free Zone companies required to have audited financial statements for Corporate Tax?
Only if the Free Zone company wants to claim 0% status as a Qualifying Free Zone Person (QFZP), or if its annual revenue exceeds AED 50 million (Ministerial Decision No. 82 of 2023).
